About the Authors

David E. Rubinsky is a partner in the Executive Compensation and Employee Benefits Practice Group of Willkie Farr & Gallagher LLP in New York, regularly advising both executives and employers on all aspects of executive compensation and other employee benefit matters in connection with mergers and acquisitions, individual and group employment, and severance negotiations. Mr. Rubinsky has extensive experience representing both private equity investors and members of management of their portfolio companies in structuring equity compensation and employment arrangements. He also regularly advises public companies and their executives and compensation committees in connection with employment, severance, and change in control arrangements, as well as on-going disclosure requirements with respect to stock ownership

Jason R. Ertel is an associate with Willkie Farr & Gallagher LLP in the Executive Compensation and Employee Benefits Practice Group, who advises on all aspects of executive compensation and other employee benefit matters, both within the context of corporate transactions as well as on a day-to-day basis. Mr. Ertel's practice includes the representation of public and private companies, management teams, and compensation committees in negotiating and implementing employment, severance, change in control, deferred compensation arrangements, and cash- and equity-based incentive compensation plans, as well as advising them on related issues under tax and securities laws. Mr. Ertel also specializes in ERISA fiduciary law, which governs the obligations of pension plan fiduciaries.
