Kennedy's unpleasant experience as a member of the board of a Fortune 500 company has helped him redefine the of role the board director when he became chairman and CEO of another firm, IMCERA Group Inc. Kennedy has learned from the mistakes of his previous company, where directors had no idea of their responsibilities and were under the thumb of the CEO, particulary in regard to the determination of executive pay. The board itself had no strategic plan and had little involvement in the company's planning. At IMCERA, the management and directors are in agreement that the protection and enhancement of shareholder assets is the company's primary goal.
